Dow Jones’ Bancrofts studying News Corp. offer

SAN FRANCISCO (MarketWatch) - Following a meeting of Dow Jones & Co.’s controlling Bancroft family members Monday, Michael Elefante, a member of the company’s board of directors and the Bancrofts’ lead trustee, said in a statement that the family and trustees ”now have all the information they need to make informed decisions about the News Corp. proposal.” Family members met in Boston to discuss News Corp.’s $5 billion acquisition offer, which was endorsed by Dow Jones’ board last week. The Wall Street Journal reported Monday that Christopher Bancroft, a family trustee and board member, said it is still unclear whether the family will accept the offer. ”Some people are for and some people are against,” Bancroft said, according to the report. ”Everyone has to decide for himself.” Bancroft family members have several days to cast votes on the News Corp. offer, and results may not be known before next week, the report said.

DaVinci Advisors fails to win support fo rtakeover of TOC

HONG KONG (MarketWatch) — Tokyo-based K.K. DaVinci Advisors has abandoned its hostile takeover of property developer TOC Co. , after shareholders of the group rejected a 1,308 yen ($10.85) per share offer.
The rejection of the takeover bid effectively kills the first-ever hostile bid for a listed Japanese company, according to the Nikkei News.
DaVinci said it garnered support to lift its stake to 35%, representing 47.35 million shares, but fell short of the 45% stake it had originally targeted.
DaVinci announced that its bid for TOC had failed in a statement Tuesday before the start of trading. Share of TOC fell 2.8% to 1,220 yen by midday in Tokyo trading.
